Sample Tribal Council Resolution

WHEREAS, the [Nation Name] is a sovereign Indian nation with inherent authority to provide for the economic welfare of its members and to establish instruments of commerce within its territory; and

WHEREAS, the Council finds that a nation-issued digital currency, denominated as [Token Name] ([SYMBOL]), settled on the public TXC blockchain via the Omni Layer protocol, will (i) keep economic activity circulating among enrolled members and local merchants, (ii) reduce reliance on out-of-nation payment processors and the fees they extract, and (iii) provide a transparent, auditable record of treasury activity; and

WHEREAS, the Council has reviewed a proposal from ImagineNation LLC to provide the technical platform — wallet application, merchant tap-to-pay terminals, treasury tooling, and on-chain issuance — under a services agreement to be approved separately; and

WHEREAS, at initial launch the Council elects to have ImagineNation LLC operate the treasury keys and automated treasury management on the Nation's behalf, with the Council retaining the right to migrate to self-custody and council-controlled signing at a future date by subsequent resolution;

NOW, THEREFORE, BE IT RESOLVED by the [Nation Name] Tribal Council that:

1. Authorization. The Council authorizes the issuance of a digital currency to be known as [Token Name], ticker [SYMBOL], on the TXC public blockchain via the Omni Layer protocol, with an initial supply of zero (0) units. All future units shall be minted on-demand in response to verified top-ups from members, merchants, or the Nation's treasury, in accordance with the operating framework adopted herein.
2. Treasury Custody. Until further resolution, the signing keys for the [Token Name] issuance address and treasury address shall be held and operated by ImagineNation LLC as custodian on behalf of the Nation, under the security and operational standards described in the services agreement. Treasury balances and on-chain movements shall remain fully visible to the Council in real time at all times.
3. Automated Treasury Management. The Council authorizes ImagineNation LLC to operate automated treasury functions on the Nation's behalf, including (a) minting [Token Name] in response to verified member or merchant top-ups, (b) settling merchant payouts to designated bank or wallet accounts on a routine cadence, and (c) returning unspent event balances to the treasury. A real-time, on-chain reconciliation dashboard shall be made continuously available to the Council Treasurer, with no batched or delayed reporting cycle.
4. Spending Limits and Approval. Individual treasury transfers exceeding [$ amount] in a single transaction, or [$ amount] aggregate per calendar day, shall require prior written approval of the Council Treasurer or their designee.
5. Membership and Eligibility. Wallets shall initially be issued to enrolled members of the [Nation Name] in good standing, with expansion to additional eligible classes (residents, employees of tribal enterprises, etc.) subject to a future resolution of the Council.
6. Merchant Acceptance. The Chief Executive (or designee) is authorized to enter into merchant acceptance agreements with businesses operating within and adjacent to the Nation, and to procure and distribute tap-to-pay terminals sufficient to support a pilot of not fewer than [N] merchants.
7. Emergency Pause. The Chief Executive, the Council Treasurer, or any two (2) Council members acting together may, upon reasonable belief of compromise or error, direct ImagineNation LLC to halt new issuance and transfers pending Council review, which shall occur no later than the next regular or special meeting.
8. Reporting and Transparency. ImagineNation LLC shall provide the Council with (a) a public-facing real-time treasury dashboard, (b) live, up-to-the-moment reconciliation against on-chain state, and (c) on-demand access to all on-chain activity associated with the Nation's issuance address.
9. Legal Review. The Office of the General Counsel is directed to coordinate review of the services agreement, terms of service presented to members, and any required notices or filings prior to public launch.
10. Effective Date. This Resolution shall take effect immediately upon adoption.
